The firm recently demonstrated its versatility by successfully negotiating the sale of Dorsey School of Business to a New York-based equity firm and completing successful defense of a real estate fraud case. The Dorsey sale proved to be a complex transaction negotiated over the course of nearly a year with experienced commercial parties, Department of Education regulatory approval, and addressing virtually every aspect of Dorsey’s operations. The deal culminated in a closing conforming to the Purchase Agreement in December 2005.
In Huhtasaari v. Stockemer, 2005 Mich. App. LEXIS 3210 (Mich. Ct. App., Dec. 20, 2005), the firm’s clients were sued for fraud, silent fraud and violation of Michigan’s Seller Disclosure Act for the nondisclosure of mold in connection with the sale of their home. The Michigan Court of Appeals upheld the trial court’s dismissal of the buyer’s claims because the Stockemers made no fraudulent representations to the buyers pertaining to the existence of mold within the house.
